Terms & Conditions.

These terms and conditions (“Agreement”) constitute the entire agreement between you, the client (“you” and “your”), and Northbridge Peak Ltd, organiser of AIDE, the AI Deployment Expo (“we,” “us,” and “our”). The Agreement governs the utilisation of our services, including meeting enrolment as mentioned in the booking form.

In this Agreement: “Event” means AIDE, the AI Deployment Expo, together with any associated conference, exhibition, or networking sessions organised by us; “Delegate” means an individual registered to attend the Event; “Sponsor” and “Exhibitor” mean an organisation that has booked sponsorship or exhibition space at the Event; “Booking Form” means the registration, sponsorship, or exhibition form completed by you; and “Venue” means the location at which the Event is held. Words in the singular include the plural and vice versa.

A booking is made when you submit a completed Booking Form. A binding contract is formed only when we confirm your booking in writing or issue an invoice, whichever occurs first. We reserve the right to decline any booking at our discretion. You are responsible for ensuring that the details provided on the Booking Form are accurate and complete.

You, your officials, and your specialists may not transfer or assign any rights or commitments of this Agreement, in whole or in part, without our prior written consent. Any attempt to transfer or assign rights without our permission will entitle us to cancel the Agreement without any obligation to compensate you.

Exhibitors and Sponsors may use only the space or package allocated to them, and may not sub-let, share, or assign any part of it without our prior written consent. Stand build-up, dismantling, and access must take place within the times we notify, and all Exhibitors and Sponsors must comply with the rules, regulations, and build guidelines of the Venue and of the Event. We reserve the right to require the alteration or removal of any stand, display, or activity that we consider unsafe, unsuitable, or disruptive to the Event or to other participants.

Exhibitors and Sponsors are responsible for arranging their own insurance, including public liability cover and cover for their staff, property, and stand, for the full duration of the Event including build-up and breakdown. We are not responsible for insuring your property or personnel, and you should ensure you hold adequate cover before attending.

All intellectual property rights in the Event, including its name, logos, brand, programme, and materials, remain our property or that of our licensors, and nothing in this Agreement transfers any such rights to you. You may not use our name, logos, or branding without our prior written consent. By participating, you grant us a non-exclusive, royalty-free licence to use your company name and logo for the purpose of promoting and administering the Event.

The Event may be photographed, filmed, or recorded by us or on our behalf. By attending, you consent to your image, likeness, and voice appearing in such materials, and to our use of them for promotional, marketing, and archival purposes without further consent or compensation. If you do not wish to appear, you should notify us in writing in advance.

We reserve the right to alter the Event programme, speakers, content, timings, and format at any time without liability, provided the Event as a whole is not materially diminished. The advertised programme is indicative and does not form a warranty.

This Agreement is governed by and will be interpreted in accordance with the laws of the United Kingdom. The courts of the United Kingdom shall have non-exclusive jurisdiction to handle any disputes arising out of or in connection with this Agreement.

This Agreement supersedes all prior agreements, understandings, negotiations, and representations (except in the case of fraudulent misrepresentation), whether oral or in writing. The terms of any other electronic communications will not form part of this Agreement.

Northbridge Peak Ltd will not be held responsible for any loss of property after the event. Participants are advised to take care of their belongings.

Nothing in this Agreement excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded. Subject to that, we will not be liable for any indirect, special, or consequential loss, or for any loss of profit, revenue, business, goodwill, or anticipated savings, and our total liability arising out of or in connection with this Agreement will not exceed the total amount paid by you to us in respect of the Event.

You will indemnify us against any loss, damage, cost, or expense we suffer as a result of your breach of this Agreement, your negligence, or any act or omission by you, your staff, agents, or contractors at or in connection with the Event.

If the event is cancelled or the location is changed due to circumstances beyond our control, we reserve the right to reschedule the event, including changing the location. If the event is not rescheduled within 12 months, your refund will not exceed the total amount received by us.

The full amount is required to be paid within 5 working days from signing the registration form by invoice bank transfer or credit card.

No cancellation requests will be entertained, and payments once made are non-refundable. If a delegate cannot attend the event, they may authorise someone to attend on their behalf. Sponsors and exhibitors cannot cancel, but they will be credited with the benefit of using the already paid event fee at any upcoming Northbridge Peak Ltd event within a year (in the form of a credit note).

Where we offer complimentary registration to attend the Event as a delegate, visitor, or buyer, the following applies in addition to the rest of this Agreement:

• Complimentary and personal: A free pass is issued at no charge and is personal to the named individual. It confers no sponsorship or exhibition benefits.
• Non-transferable: A free registration may not be transferred, shared, resold, or assigned. Where a registered individual cannot attend, a substitute may attend in their place only with our prior agreement.
• Admission subject to availability: Free registration is a request to attend and does not guarantee entry. Places may be limited, and we reserve the right to close registration, cap attendance, and to refuse or revoke any registration at our discretion, including at the door.
• Eligibility: Complimentary passes are intended for professional and industry attendees. We may verify your eligibility, and we may decline or withdraw any registration that does not meet our criteria.
• Badges: Entry badges are personal, must be worn at all times within the Venue, and must not be shared, copied, or resold. We may refuse entry to, or remove, anyone without a valid badge.
• Non-attendance: There is no charge for a complimentary registration, and no fee applies if you do not attend. We simply ask that you let us know if your plans change so that we can release your place to others.

You are responsible for arranging your own travel, accommodation, and any visas or permissions required to attend the Event. Failure to obtain a visa, or to travel for any reason, is not grounds for a refund, and our cancellation terms continue to apply.

We collect and process personal data in accordance with the data protection laws of the United Kingdom. By registering for our events, you consent to the collection, use, and sharing of your personal data for the following purposes:

• Event Administration: Managing your participation in the event.
• Marketing and Promotions: Sending you information about our events, products, and services that may be of interest to you.
• Third-Party Sharing: Sharing your data with our partners and sponsors for their own marketing purposes.
• Research and Analysis: Conducting market research and analysing attendee demographics to improve our events and services.

You may opt out of receiving marketing communications at any time by contacting us. However, please note that opting out will not affect our ability to send you administrative communications related to your participation in the event.

All participants must comply with the health and safety regulations of the United Kingdom. We reserve the right to refuse entry or remove any participant who does not comply with these regulations. Participants are also encouraged to adhere to any specific health guidelines or protocols in place during the event.

We will not be liable for any delay or failure to perform our obligations under this Agreement if such delay or failure is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, government action or restrictions, strikes or labour disputes, and failures of utilities, transport, or communications networks.

We may update or amend these terms and conditions from time to time. The version in force at the date of your booking will apply to that booking, and the current version will be made available on request and on our website.

No failure or delay by us in exercising any right under this Agreement will operate as a waiver of that right, and no single or partial exercise of any right will prevent any further exercise of it.

If any provision of this Agreement is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

A person who is not a party to this Agreement has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.

Any notice given under this Agreement must be in writing and sent to us at our registered address or the contact email we provide, and to you at the details given on your Booking Form.
